This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you" or "User") and Cosine Lab Inc ("Cosine," "we," "our," or "us") governing your use of the Cosine mobile application, website, and associated services (collectively, the "Software" or "Services").
By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Software.
Subject to the terms and conditions of this Agreement, Cosine grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for the internal administrative and educational operations of your school or personal use as a parent, educator, or authorized stakeholder.
You acknowledge that this license is for use only and does not convey to you any ownership or proprietary interest in the Software.
You shall not (i) reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software; (ii) modify, adapt, translate, or create derivative works based on the Software; (iii) reproduce, distribute, rent, lease, sell, sublicense, assign, or otherwise transfer your rights to the Software; (iv) use the Software for any unlawful purpose or in violation of any applicable laws or regulations;(v) use the Software to develop or market any competing product or service; and/or (vi) circumvent, disable, or otherwise interfere with security-related features of the Software.
The Software is licensed, not sold. Cosine retains all right, title, and interest in and to the Software, including but not limited to all intellectual property rights. Nothing in this Agreement shall be construed as granting any ownership rights to you.
All trademarks, logos, and service marks displayed in the Software are the property of Cosine or their respective owners.
The Software may incorporate or interact with third-party services or libraries. Use of these services is governed by their respective license agreements, and you agree to comply with such third-party terms.
Cosine is not responsible for the behavior, features, or content of any third-party service.
Cosine may, from time to time, update the Software, including modifications to features, functionality, infrastructure, or legal terms.
Such updates may be installed automatically without notice. Your continued use of the Software after an update constitutes your acceptance of the updated version.
This license is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms or if your user account is permanently disabled for any reason, including violation of our Terms of Service.
Upon termination, you must cease all use of the Software. However, all provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.
You remain bound by this Agreement even after your account is deactivated, to prevent misuse or unauthorized replication of Cosine's intellectual property.
The Software is provided "as is" and "as available" without warranty of any kind, express or implied. Cosine disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Cosine does not warrant that the Software will be error-free, uninterrupted, or secure.
To the fullest extent permitted by law, in no event shall Cosine be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of or inability to use the Software.
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
